Terms of Service

Effective date: September 27, 2026 · Last updated: September 27, 2026

Please read these Terms carefully. They contain a binding arbitration agreement and a class action waiver (Section 19) that affect how disputes are resolved, and a no-refund policy for purchases (Section 10). By creating an account, accessing, or using Fifth Quarter, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are and what these Terms cover

Fifth Quarter (the "Service") is operated by Exoloom, [legal entity type and state of organization] ("Exoloom," "we," "us," or "our"). The Service includes the website at 5thquarter.football, the Fifth Quarter apps for iOS and Android, and every feature offered through them, including game rooms, the Parking Lot, predictions, receipts, the Walk of Shame, garages, rivalries, leaderboards, direct messages, notifications, giveaways and paid memberships.

These Terms of Service (the "Terms") are a legally binding agreement between you and Exoloom. They incorporate by reference our Privacy Policy, our Community Guidelines, and any official rules published for a specific giveaway (together, the "Policies"). If a Policy conflicts with these Terms on a specific topic, the more specific document governs that topic.

2. Eligibility

3. Your account

4. Your content and the license you grant

"Your Content" means anything you post, upload, send or otherwise submit through the Service, including takes, replies, predictions, receipts, reactions, polls, images, GIFs you select, garage and direct messages, profile details, support tickets and reports.

5. Conduct and the Community Guidelines

Competitive trash talk about football is the point of Fifth Quarter. Abuse is not. You agree to follow the Community Guidelines and not to:

6. Moderation, suspension and termination

7. Progression, Respect and virtual items

8. Paid memberships: 5Q Plus and the Season Pass

We offer optional paid memberships ("Memberships"). The current packages, their prices and what each includes are shown on the 5Q Plus page before you buy. Examples include:

Memberships grant access to features; they never grant Progression, giveaway entries, or any competitive advantage. The features included in a Membership may change over time. If we remove a feature that was a principal reason for a Membership, we will give notice as described in Section 16. We may also grant Memberships or perks free of charge at our discretion (for example, to creators or for promotions); a complimentary grant can be ended at any time and carries no right to future grants.

9. Billing, auto-renewal and cancellation

Where you buy

A purchase through Apple or Google is also subject to that store's terms, and that store, not Exoloom, handles the payment. We never receive your full card number.

Prices and taxes

Prices are shown before you buy, in the currency of your store or checkout. Store prices can vary by country. Prices may include or exclude sales tax, VAT or similar taxes depending on where you live and how you buy; any applicable taxes are shown or charged at checkout. We may change prices for future periods; see "Price changes" below.

Automatic renewal

Subscriptions renew automatically at the end of each billing period, at the then-current price, and your payment method is charged for each new period, until you cancel. To avoid being charged for the next period you must cancel at least 24 hours before the current period ends.

How to cancel

Deleting the app or your Fifth Quarter account does not cancel a subscription billed by Apple or Google. When you cancel, your Membership stays active until the end of the period you have already paid for, and then ends. We do not provide prorated refunds or credits for the unused portion of a period.

Free trials and introductory offers

If we offer a free trial or an introductory price, its length, price and eligibility are shown before you accept it. Unless you cancel at least 24 hours before the trial or introductory period ends, the subscription converts automatically to the regular price. Eligibility for introductory offers is limited to one per person and is determined by us or the app store.

Failed payments

If a renewal payment fails, we or the store may retry the charge. Your Membership may continue for a short grace period (currently up to 3 days on the web, and as the app store allows in the apps) and ends if payment is not recovered.

Price changes

We will notify you before a price increase applies to an existing subscription, as required by law and by the app stores. If you do not agree to the new price, cancel before it takes effect. Where the app store requires your consent to an increase and you do not give it, the subscription will not renew.

Restoring purchases

If you bought through Apple or Google, you can use RESTORE PURCHASES in the app to re-link an active subscription to your Fifth Quarter account. A Membership is attached to the Fifth Quarter account that bought it and cannot be moved to another account.

10. No refunds

All purchases are final. Except where required by applicable law, Exoloom does not offer refunds, credits or exchanges for any purchase, including for partially used subscription periods, unused Season Pass seats, periods during which you did not use the Service, features that change, or accounts suspended or terminated for violating these Terms.

11. Giveaways

12. Sports data, no wagering, no affiliation

13. Third-party services and app stores

The Service links to or integrates third-party services (for example, GIF search, external links on creator profiles, and app store billing). We do not control and are not responsible for third-party services, and your use of them is governed by their own terms.

Additional terms for the iOS app

If you downloaded the app from Apple's App Store: (a) these Terms are between you and Exoloom only, not Apple, and Exoloom, not Apple, is solely responsible for the app and its content; (b) your license to use the app is limited to a non-transferable license to use it on Apple-branded products you own or control, as permitted by the App Store's Usage Rules; (c) Apple has no obligation to provide maintenance or support for the app; (d) if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the app, if any, and to the maximum extent permitted by law Apple has no other warranty obligation; (e) Exoloom, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection or privacy claims; (f) Exoloom, not Apple, is responsible for the investigation, defense, settlement and discharge of any claim that the app infringes a third party's intellectual property rights; (g) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and are not on any U.S. Government list of prohibited or restricted parties; and (h) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Additional terms for the Android app

If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the app.

14. Our intellectual property

The Service, including its software, design, text, graphics, the Fifth Quarter name and logo, and all Virtual Items, is owned by Exoloom or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial use. All rights not expressly granted are reserved.

15. Copyright complaints

We respect intellectual property rights and respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act. To file a notice, send our designated agent: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and where it appears in the Service; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the owner, its agent or the law; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

Designated copyright agent: [agent name], [mailing address], [copyright contact email]. We may terminate the accounts of repeat infringers.

16. Changes to the Service and to these Terms

17. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free or free of harmful components, that sports data will be accurate or timely, or that any content will be preserved. You use the Service at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

18. Limitation of liability and indemnity

To the maximum extent permitted by law, Exoloom and its affiliates, officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or other intangible losses, arising out of or relating to these Terms or the Service, whether based in contract, tort (including negligence), strict liability or any other theory, even if advised of the possibility of such damages. Our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, and (b) fifty U.S. dollars (US$50).

These limits do not apply to liability that cannot be limited under applicable law, including for death or personal injury caused by negligence, or for fraud.

You agree to indemnify and hold harmless Exoloom and its affiliates, officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of anyone's rights.

19. Disputes, arbitration and class action waiver

Informal resolution first. Before filing a claim, you and we each agree to try to resolve the dispute informally by sending a written notice describing it to the other party (to us at the contact in Section 21). If the dispute is not resolved within 60 days, either party may begin arbitration.

Binding arbitration. If you live in the United States, you and Exoloom agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive relief in court for infringement or misuse of intellectual property. The Federal Arbitration Act governs this Section. The arbitrator may award the same individual relief a court could, and the arbitration will take place in your county of residence or by video conference.

Class action waiver. You and Exoloom may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. There is no jury trial.

Opting out. You may opt out of this arbitration agreement by sending written notice to the contact in Section 21 within 30 days of first accepting these Terms, stating your name, the email or phone number on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Severability. If the class action waiver is found unenforceable as to a claim, that claim will proceed in court and not in arbitration. If any other part of this Section is found unenforceable, the rest remains in effect.

Outside the United States. If you live outside the United States, this arbitration Section does not apply to you, and you may bring a claim in the courts of the place where you live if the law there gives you that right.
